Athlon is old cpu anyway. The actual drivers for the card are out dated from their manufacturer's site, so I went and downloaded a vista 32bit driver Catylist thingy and the actual gfx driver from ATIs website.

Now I am having a lttle lag here and there in xp machine too, like Spiderman Web of Shadows would play smoothly for sec and then it freezes for sec and so on, so I was hoping that the driver might fix does issues.

What it is is the now ancient by today's standards Nforce 2 chipset on the motherboard, and zero support for it in Windows 7 or Vista for that matter. My motherboard also has a chipset and it works fine with XP, Vista and now, with Win7 64 bit. It also seems to be hit and miss for those with the same or similar chipsets primarily the NF3 as to whether it works or not, in a lot of cases it is like you and it doesn't.

Ok, so then I tried qh4650 the 32 Bit and it says that it couldn't find any driver compatible with my hardware or operating system, and that it will quit. It might help me get some extra fps.
